Baseball Question: How does a player become "out of options". Is it seasons or amount of times sent up/down?

It is actually years. Once a player is added to a Major League Team's 40 man roster, it starts his option clock. That means the player can be sent up to the majors or sent down to the minors as many times as the major league team wants for a period of three full years without exposing him to the Major League Waiver Process. After those three full years are up, the player is said to be "out of options" - that is, he can no longer can freely be sent down to the minors. He must first clear waivers (the right of any of the remaining 29 ML clubs to claim him as their own). If he clears waivers, he can then be sent down to the minors. If he doesn't, he's awarded to the team who claimed him that was lowest in the standings at the time of the claim.

What are the differnences in strategy between a roto league and a H2H one?

Has to do with the amount of time in baseball, I don't think it has anything to do with being sent up and down. I'm not sure how long it is, but I know a lot of teams have problems with this and it causes them to keep players on the roster they may not have wanted to.
